What to check before you sign

Payment and deliverables

Check how fees become due, what counts as acceptance, which expenses are covered and whether the work is clearly defined.

Liability and indemnity

Look for uncapped exposure, one-sided indemnities, broad exclusions and obligations that extend beyond your control.

Termination and renewal

Understand when either party can leave, notice deadlines, automatic renewals and payments or duties that survive termination.

Ownership and restrictions

Review intellectual property ownership, confidentiality obligations, exclusivity and restrictions on future work.

A small agency is reviewing a one-year software subscription before signing.

The contract wording

“The subscription renews for a further twelve months unless notice is received at least ninety days before the renewal date.”

Why it matters

A twelve-month term does not mean you can decide whether to renew at the end of the year. The notice deadline falls much earlier. The termination clause and order form may add fees or a different notice method.

What to ask

When must notice arrive, who must receive it, and what happens to prepaid fees if you leave?

A change to discuss

Ask for a shorter notice window that your team can manage, a clear notice address and an explanation of renewal pricing. Check that the order form and main agreement use the same dates.
