What to check before you sign

What counts as confidential?

Check the definition, the permitted purpose and whether oral, unmarked or independently developed information is covered too broadly.

Who owes which obligations?

Compare the obligations of the disclosing and receiving parties. A document called a mutual NDA may still contain one-sided terms.

How long do the duties last?

Distinguish the agreement term from surviving confidentiality duties. Look for unclear end dates and obligations that continue after the discussions stop.

Exceptions, disclosure and remedies

Review public-information exceptions, required disclosures, return or deletion requirements, liability and remedies for a breach.

An NDA deletion duty your backups cannot meet

A consultant receives confidential material by email and stores project files in a backed-up workspace.

The contract wording

“The Recipient shall permanently erase every copy of Confidential Information, including all backups, within twenty-four hours of a request.”

Why it matters

The promise covers copies the consultant may not be able to erase individually. It also leaves no room for records that must be retained. A simple deletion request could create a practical compliance problem.

What to ask

Can the receiving party actually remove every backup in that time, and what records must remain?

A change to discuss

Discuss a workable deletion period and narrowly defined exceptions for required records and routine backups. Retained material should remain protected and unavailable for ordinary business use.

The right wording depends on your full agreement and the applicable law. Try changing one clause in the sample.
